IP Due Diligence

If you are considering buying a business or investing in a business then, alongside your investigation of the financial side of the business and the business plan, you should also look at whether the business has any Intellectual Property (IP) assets and check that they are adequately protected.

Intellectual Property has the potential to raise the value of a company, protect its market position, present a barrier to competitors considering entering the market, and attract and retain future investment.

To assist you in assessing whether to invest in or buy a business, we can carry out an investigation of the business’s IP and prepare an IP Due Diligence report. Our IP Due Diligence report will consider the following:

  • What IP assets does the business own?
  • Are these assets properly formally protected?
  • If the business owns any patents, registered trade marks or registered designs, are these valid and in force?
  • Does the business have an IP strategy? And does this support the business strategy?
  • Are there any third party IP rights which might affect the business? Or prevent it from implementing the business plan?
  • Has the business taken any steps to monitor or assess potential infringement risks?

The report will also recommend actions for further protecting and exploiting the Intellectual Property of the business.
